Terms and conditions

1. Definitions

In these terms and conditions, the following definitions apply:

Contractor:
RaQuality Services, based in Amsterdam and registered with the Chamber of Commerce under number 86431072.
Client:
any individual or legal entity that enters into an agreement with the Contractor.
Agreement:
any assignment agreed in writing or electronically to which these terms and conditions apply.
Subscription:
an agreed period during which the Contractor reserves capacity for the Client for a fixed fee.
Prepaid Hours Package:
a prepaid number of hours that can be used within the agreed validity period.
Additional work:
work outside the agreed hours, capacity or scope.

2. Applicability

These general terms and conditions apply to all quotes, assignments and agreements between the Contractor and the Client.

Deviations are only valid if agreed in writing or electronically.

If the Agreement conflicts with these terms and conditions, the Agreement takes precedence.

3. Carrying out the assignment

The Contractor carries out the agreed work independently and using their own professional judgement. The parties enter into a contract for services and expressly do not intend to create an employment contract.

The Client must provide all information, documents, access, decisions and cooperation needed to carry out the work properly in good time. The Contractor may assume these are accurate and complete.

The Contractor is not responsible for delays caused by missing or late information, access, approval or cooperation.

The Contractor undertakes to use reasonable efforts but does not guarantee any specific commercial, financial or other outcome.

4. Subscriptions and capacity

With a subscription, the Contractor reserves capacity for the Client for the agreed period. The agreed subscription fee is payable even if the Client does not use all available hours.

Work is scheduled according to the Service Provider's availability. A subscription does not entitle you to fixed working days, immediate availability or using all your hours in a short period, unless otherwise agreed in writing.

If unused hours may be carried over, the terms set out in the Agreement apply. These hours expire at the end of the agreed validity period, with no right to a refund or payout.

Work exceeding the agreed hours or capacity will only be carried out after consultation and counts as Additional Work at the agreed hourly rate.

5. Prepaid packages

A Prepaid Hours Package consists of hours purchased in advance. The number of hours, price and validity period are set out in the Agreement.

The prepaid hours package is invoiced and paid in full upfront, unless otherwise agreed in writing.

Hours can be used flexibly within the validity period, subject to the Contractor’s availability. Consultation, preparation, research, communication and coordination needed for the assignment count as time spent.

Unused hours expire at the end of the validity period and will not be refunded or paid out.

A Prepaid Hours Package does not entitle you to fixed working days, immediate availability or priority scheduling.

6. Rates and payment

All rates and amounts exclude VAT and any additional costs, unless stated otherwise.

Subscriptions, Prepaid Hours Packages and fixed packages are invoiced in advance, unless otherwise agreed in writing. Payment is due within 7 calendar days.

If payment is late, the Contractor may suspend work until all amounts due have been paid. Reserved capacity remains payable during this period.

Additional work and extra costs may be invoiced separately.

If payment is overdue, the Contractor may charge statutory interest and out-of-court collection costs.

7. Scheduling, location and travel expenses

The Contractor manages its own schedule, taking agreed deadlines and the Client’s reasonable wishes into account as much as possible.

Urgent work is only carried out if the schedule allows.

On-site work is agreed in advance. Unless otherwise agreed in writing, necessary travel time is billed at 50% of the hourly rate applicable to the assignment.

Business mileage is charged at the agreed rate per kilometre. Necessary parking, toll, public transport and other travel costs are payable by the Client.

8. Events and external parties

When the Contractor carries out work for events, meetings or other activities, the work, any attendance and available hours are agreed in advance.

The Contractor may contact venues, caterers, suppliers and other external parties on behalf of or in consultation with the Client.

Unless otherwise agreed in writing, agreements with external parties are entered into by and at the expense of the Client.

Third-party costs are payable by the Client.

The Contractor is not liable for errors, delays, cancellations or shortcomings of external parties.

9. Confidentiality, personal data and intellectual property

The parties will keep any confidential information obtained during their collaboration confidential. This obligation continues after the Agreement ends.

Both parties handle personal data, accounts, passwords and other confidential information with care and comply with the GDPR.

If the Contractor processes personal data on behalf of the Client and the GDPR requires it, the parties will enter into a separate data processing agreement.

Materials developed specifically for the Client may be used within their own organisation once payment has been made in full. The Contractor's existing methods, formats, templates, working practices and knowledge remain the Contractor's property. Unless otherwise agreed in writing, intellectual property rights are not transferred.

10. Term and termination

The term and any notice period are set out in the Agreement.

If no other notice period has been agreed, a notice period of one subscription period applies.

Notice of termination must be given in writing or electronically.

Amounts already paid are non-refundable. Outstanding invoices and costs already incurred remain payable.

Upon termination, any remaining subscription hours expire at the end of the Agreement, unless otherwise agreed in writing.

The Contractor may suspend work or terminate the Agreement if the Client fails to pay despite a request, consistently fails to cooperate sufficiently, or if the Contractor cannot reasonably be expected to continue the collaboration.

11. Liability

The Contractor is only liable for direct damage demonstrably caused by an attributable failure to perform the Agreement.

Liability is limited to the amount paid out by the liability insurer in the case concerned.

If no insurance payout is made, liability is limited to the amount the Client paid the Service Provider for the relevant assignment in the three months before the damage occurred.

The Contractor is not liable for indirect or consequential loss, lost revenue or profit, missed savings, reputational damage or loss resulting from incorrect, incomplete or late information provided by the Client.

The Contractor is also not liable for errors, disruptions or failures of external suppliers, software, platforms or other third parties on which it relies to carry out its work.

12. Force majeure

The Contractor is not liable for failing to carry out work, or for delays in doing so, due to circumstances beyond its reasonable control.

This includes illness, serious personal circumstances, power or internet outages, software or system failures, government measures and other unforeseen circumstances.

The Contractor’s obligations are suspended during force majeure to the extent that performance is not possible.

If continuing the Agreement is no longer reasonably possible, either party may terminate it in writing.

Work already carried out and costs already incurred remain payable.

13. Changes and governing law

The Contractor may amend these general terms and conditions. Any material changes affecting an ongoing Agreement will be communicated to the Client in advance.

All agreements are governed by Dutch law.

The parties will first try to resolve any disputes through mutual consultation.

If the parties cannot reach a solution, the dispute will be submitted to the competent court in Amsterdam, to the extent permitted by law.
